These are the terms that govern how Sparsh Brand Innovation and its clients work together. Please read them before engaging our services.
We’ve tried to write these terms in a way that’s fair and easy to understand. The goal isn’t to create a legal maze — it’s to make sure both sides know what to expect from the working relationship before we begin.
By using this website or engaging Sparsh Brand Innovation for any service, you agree to the terms set out below. If you have questions about anything here, please ask before signing off on a project.
1. Who we are
Sparsh Brand Innovation is a branding and packaging design based in Lucknow, Uttar Pradesh, India. We also maintain an office in Victoria, BC, Canada. Our services cover brand identity, packaging design and printing, marketing collaterals, and related creative work.
2. Our services
The specific scope, timeline, and deliverables for any project are agreed upon before work begins — typically through a proposal or project brief that both parties sign off on. These terms apply on top of that project-specific agreement. We reserve the right to decline any project enquiry at our discretion, without being required to give a reason.
3. Payments and fees
Our pricing is shared in project proposals and is based on the scope of work discussed. Unless agreed otherwise in writing:
A percentage of the project fee is required upfront before work begins.
Remaining payments are due at milestones agreed in the project proposal.
Final files and production-ready assets are released only after full payment is received.
Invoices are due within 14 days of being issued, unless we’ve agreed to different terms in writing.
Late payments may attract interest charges. We’ll always try to resolve payment issues with a direct conversation first, but persistent non-payment may result in work being paused or the project being closed.
4. Revisions and approvals
Every project includes a set number of revision rounds, which will be specified in your proposal. Revisions beyond that are billed at our standard hourly rate.
When you approve a design direction, a proof, or a production file — whether in writing or by giving us a verbal go-ahead — that counts as approval. Changes requested after that point may incur additional charges, especially if production has already started.
Please take the time to review materials carefully before approving. We can’t be held responsible for errors that were present in approved files.
5. Timelines and delivery
We commit to the timelines agreed in each project proposal. Those timelines assume that feedback, approvals, and any content supplied by the client arrive on time. Delays on the client side will push the delivery date accordingly — we’ll always communicate this clearly and adjust the schedule together.
If urgent timelines are required, we may charge a rush fee. This will be discussed and agreed before we take it on.
6. Intellectual property and ownership
Once a project is paid in full, ownership of the final approved designs transfers to you, the client. This means you can use them freely for the purposes the project was intended for.
Until full payment is received, all work created by Sparsh remains our intellectual property.
We retain the right to display completed work in our portfolio, on social media, and in marketing materials unless you’ve explicitly asked us not to. If confidentiality is important, tell us at the start of the project and we’ll agree on what can and can’t be shared.
We may incorporate third-party elements — stock imagery, fonts, licensed illustrations — into your project. Where we do, we’ll ensure the licensing covers your intended use.
7. Client responsibilities
You are responsible for ensuring that any content, logos, images, or other materials you provide to us are yours to use — that you own them or have the proper licences. Sparsh cannot be held liable for any intellectual property disputes arising from materials provided by the client.
You’re also responsible for final proofreading before approvals. We’ll do our best to catch errors, but the final check is yours.
8. Confidentiality
Anything you share with us — business plans, product details, financial information, unreleased work — stays with us. We treat all client information as confidential and don’t share it with third parties outside of what’s necessary to complete your project.
If you’d like a formal Non-Disclosure Agreement signed before our initial conversations, just ask.
9. Limitation of liability
Sparsh Brand Innovation will always do its best to deliver quality work on time. That said, our liability is limited to the value of the fees paid for the specific project in question. We’re not liable for indirect losses — lost profits, missed opportunities, or consequential damages — that arise from our work or any delay in delivering it.
We are also not responsible for the performance, reception, or commercial success of any design work after delivery.
10. Cancellations
If you need to cancel a project, please let us know in writing as soon as possible. Any work completed up to the point of cancellation will be invoiced. If a deposit was paid, it may be retained to cover work already done.
If Sparsh needs to withdraw from a project due to circumstances on our end, we will return any advance payment for work not yet completed.
11. Disputes
We’d rather resolve any disagreements through honest conversation than through formal processes. If something isn’t right, please reach out directly and give us the chance to make it right.
If a dispute can’t be resolved informally, it will be subject to the laws of India, and the courts of Lucknow, Uttar Pradesh will have jurisdiction.
12. Changes to these terms
We may update these terms from time to time. The version published on the website at the time of your project engagement is the version that applies to that project.
